Flutter Entertainment has announced that it will unify its Italian gambling operations into the single ‘legal entity’ of Sisal Italia SPA.
The reorganisation will involve the merger of the Italian gambling group’s Superenalotto lottery business with the online gaming subsidiary of Sisal Entertainment.
The merger is necessary for Flutter to streamline and strengthen its position within the Italian gambling market following its acquisition of Sisal, undertaken last summer for £1.9bn.
The acquisition was a significant part of Flutter’s ongoing strategy to expand its presence in regulated markets globally and build leadership positions in various international markets.
Sisal operates the Italian national lottery and has a significant presence across multiple gaming verticals in the country.
In 2022, it ranked as the second largest online casino operator in Italy, holding an 11.9% market share, just 0.5% below current market leader Lottomatica.
Since its acquisition by Flutter, the firm has successfully won a sports betting tender in Morocco and secured a 10-year gaming contract in Tunisia, demonstrating its commitment to expanding its global footprint and diversifying its operations.
Sisal currently awaits for the Italian Treasury to submit its market reorganisation bill, pledged as part of the first Budget Law of PM Giorgia Meloni’s premiership.
The government has tasked Treasury Deputy Italo Volpe with providing a series of measures to update Italian gambling laws and to end the long-standing regulatory issue on licensing concessions.
During March trading, Fllutter’s board announced that it would hold a shareholder vote at its AGM on 27 April, to settle on whether the firm should secure a secondary listing on a US stock exchange.
