bwin.party have announced the resignation of non executive directors Tim Bristow and Geoff Baldwin with immediate effect. The resignations undertaken by the two non executive director, sees bwin.party remain compliant with UK Corporate Governance Code’s recommendations on independent and non-independent directors.
The resignations also follow the company’s recent strategical decision to reduce the size of the board, bwin.party stated that the company is in the process of reviewing the composition of its boards members and the company may see further changes at board level.
Tim Bristow, an independent non-executive of bwin.party has left his position after spending six years with the company. He joined the board of PartyGaming in May 2007 and remained with the firm following its merger with bwin Interactive Entertainment AG in March 2011.Geoff Baldwin, was appointed in July 2011 following a nomination under the terms of the relationship between bwin.party and the acquisition of Emerald Bay Limited and Stinson Ridge Limited.
Simon Duffy, current chairman of bwin.party, commented on the resignations undertaken by bwin.party,: “These changes are in line with the intention expressed in the Company’s 2012 annual report to reduce the size of the board, whilst also ensuring we maintain our compliance with the UK Corporate Governance Code’s recommendation on the balance of independent and non-independent directors. We continue to review the composition of the board and this process may result in further changes to the board later in the year.”
