Global lottery operator Allwyn has announced that it is relocating its Allwyn International a.s. (AIAS) entity office from the Czech Republic to Switzerland.
The transfer of business came into effect on 1 October, with the new entity now operating under Swedish law and the new legal name Allwyn International AG.
No effects are anticipated on the Allwyn lottery and gaming properties, as well as its workforce in the Czech Republic.
Accompanying the relocation, a total of €500m 3.875% senior secured notes due 2027 issued by AIAS have been transferred to UK-based Allwyn Entertainment Financing Plc, acting as a substituting issuer.
The UK business serves as a issuer and borrower of Allwyn bonds and loans, with AIAS becoming a guarantor of the notes due 2027 – still guaranteed under pari passu/equal footing agreement with other indebtedness falling under Allwyn’s 2020 intercreditor agreement.
Allwyn became the National Lottery Operator in the UK earlier in February, having officially been granted the £6.5bn licence by the UK Gambling Commission in 2022.
The firm’s UK segment was described by CEO Robert Chvatal as a “key contributor” to Allwyn’s Q1 28% YoY unaudited revenue growth.
